Purchase Order Terms and Conditions: Whose Terms Win

How UCC 2-207 decides whose terms govern a goods purchase order, with a sourced checklist of PO clauses and supplier-document checks. Not legal advice.

Short answer: purchase order terms and conditions are the contract terms printed on or attached to a buyer’s PO. For goods, they only help if they survive the supplier’s own quote, acknowledgment or invoice terms. Under UCC 2-207, a PO that expressly limits acceptance to its own terms keeps additional supplier terms out, and a timely objection to the extra terms can keep them out. This is general information, not legal advice.

Definition and scope: what PO terms are and what this page covers

“PO terms” means the legal conditions that sit beside the line items: payment, delivery, inspection, warranty, changes and similar clauses. The field-by-field layout of the order itself is covered in purchase orders for medical supplies. This page covers only the terms layer, and only for sales of goods, which is the territory of Article 2 of the Uniform Commercial Code. Services are not covered by Article 2. States enact the UCC with variations, so check your own state’s enacted text.

How purchase order terms and conditions work in a medical supply purchase

A buyer sends a PO with its terms. The supplier replies with an acknowledgment, order confirmation or invoice carrying a different set. Neither side signs the other’s form, and the goods ship anyway. Which terms govern is the “battle of the forms,” and UCC 2-207 (Cornell LII, checked 2026-11-03) decides it in three steps.

Step 1: a reply can still form a contract

Under 2-207(1), a definite and seasonable expression of acceptance or a written confirmation operates as an acceptance even though it states terms additional to or different from those offered, unless the acceptance is expressly made conditional on assent to those terms.

Step 2: what happens to the supplier’s extra terms

Under 2-207(2), additional terms are construed as proposals for addition to the contract. Between merchants they become part of the contract unless (a) the offer expressly limits acceptance to the terms of the offer, (b) they materially alter it, or (c) notification of objection has been given or is given within a reasonable time after notice of them is received.

Step 3: conduct without matching writings

Under 2-207(3), if both parties’ conduct recognizes a contract, the terms are those on which the writings agree, together with supplementary terms supplied by the UCC.

Documents and terms that go with a PO (po terms and purchase order requirements)

The table lists only points that a statute section below states directly. It is a reconciliation aid, not a complete clause library.

Document or term What the UCC text says What a buyer can do with it
Sentence limiting acceptance to the PO’s terms 2-207(2)(a): additional terms do not become part of the contract if the offer expressly limits acceptance to its terms Put an explicit “acceptance is limited to these terms” sentence on the PO
Supplier acknowledgment or invoice 2-207(2)(c): objection within a reasonable time; 2-201(2): written objection to a merchant’s confirmation within 10 days after receipt Read each supplier document when it arrives and object in writing, with a date
Writing requirement 2-201(1): a writing is needed for a sale of goods for a price of $500 or more Keep the PO and confirmations as the written record
Warranty disclaimer in supplier terms 2-316(2): excluding the implied warranty of merchantability must mention merchantability and, in a writing, be conspicuous Check whether a supplier disclaimer meets that wording and visibility test
“No oral changes” clause 2-209(2): a signed agreement excluding modification except by signed writing cannot be otherwise modified Add the clause, and make later changes in a signed writing; if the other party is not a merchant, 2-209(2) requires that party to sign the clause separately
Modification 2-209(1): a modification needs no consideration to be binding A later change can bind without new payment, so track every amendment

Two related CASRAI pages show how these clauses read in practice: entire agreement clause and amendment clause. For when a standing agreement should replace per-order terms, see master service agreement vs individual purchase terms.

Where it matters for labs, clinics and supply decisions

Medical and laboratory supply orders are typically goods, so the sections above are the relevant text, but whether a particular order is within Article 2 is a legal question for your counsel. The practical effect of 2-207 is that a PO sent with no limiting sentence and no objection invites the supplier’s extra terms in. Payment-term mechanics are separate; see net 30 terms for medical supply orders. For wider negotiation context, see supplier contract negotiation, and for electronic orders EDI 850.

Common misunderstandings and mistakes small buyers make

  • “Our PO terms automatically win.” 2-207(1) and (2) let a reply with different terms still form a contract, and the outcome depends on the limiting sentence, material alteration and objection.
  • Silence is safe. Under 2-207(2)(c) and 2-201(2), delay in objecting can matter; 2-201(2) names 10 days for written objection to a confirmation.
  • Not reading the supplier’s fine print. A warranty disclaimer in an acknowledgment is tested against the conspicuousness rule in 2-316(2) only if someone notices it.
  • Agreeing changes by phone. A no-oral-modification clause under 2-209(2) means later changes belong in a signed writing.
  • Assuming one state’s rule everywhere. States enact their own versions of the UCC.

FAQ

What is purchase order terms and conditions?

It is the set of contract conditions a buyer attaches to a PO, such as payment, delivery, inspection, warranty and changes. For goods, the UCC determines how they interact with a supplier’s own forms.

How does purchase order terms and conditions work in a medical supply purchase?

The PO is usually answered by a supplier acknowledgment or invoice. Under UCC 2-207, additional supplier terms are proposals that between merchants join the contract unless the PO limits acceptance to its terms, they materially alter it, or the buyer objects in time.

Which documents or terms go with purchase order terms and conditions?

The PO, the supplier’s quote and acknowledgment, the invoice, and any master agreement. Reconcile them before shipment and keep written objections dated.

What mistakes do small buyers make with purchase order terms and conditions?

Omitting a sentence limiting acceptance to the PO’s terms, not objecting in writing to supplier terms, missing a disclaimer in supplier paperwork, and making oral changes despite a written-change clause.
